Exclusive negotiations are now underway between the media conglomerate and the streaming behemoth for a potential sale of its core studio and streaming operations, a move that could dramatically alter the entertainment industry landscape.
An Intense Competition
Netflix is said to be vying with other major players like Paramount Skydance and Comcast, the owner of Universal Studios and Sky, for control of the iconic Hollywood institution, the premium HBO, and the Max streaming platform.
Sources indicate the company has offered a hefty breakup fee of $5 billion if the acquisition fail to secure necessary regulatory approval in the United States.
The Financial Details
With Warner Bros Discovery shares sitting around about $24 per share, its overall market cap is estimated at around $60bn. It is believed Netflix's offer ranges from $28 to $30 per share, which suggests a potential deal worth in the neighborhood of $70bn to $75bn.
Industry experts have warned that this consolidation could raise significant antitrust concerns, as it would combine two of the most dominant subscription platforms in the United States.
Commitments and Corporate Restructuring
In its proposal, the streamer has provided assurances that the legendary movie lot, behind major franchises like Batman and Harry Potter, would retain wide theatrical releases.
Before any potential deal closing, Warner Bros Discovery is expected to complete a planned spin-off of its linear TV networks, which include CNN, TBS, and TNT.
An Entertainment Powerhouse
A successful acquisition, Netflix would become the owner of the acclaimed HBO, creator of critically acclaimed hits including Succession, The White Lotus, The Sopranos, and Game of Thrones, plus an extensive archive of classic television.
The studio formally initiated its sale process last fall following interest from multiple suitors.
Industry Concerns
This prospective deal has not been without controversy. Acclaimed filmmaker James Cameron, director of the Avatar and Terminator franchises, recently warned that a Netflix acquisition could lead to a "significant erosion of enduring worth" for the broader entertainment industry.
Initially, Paramount Skydance was viewed as the leading candidate. The company had also offered a $5 billion termination fee contingent on regulatory hurdles.
Allegations of an Unfair Process
Recently, the rival bidder argued in a letter that its bid was the one most poised to gain government approval. Additionally, the studio alleged Warner Bros of conducting an "unfair auction process" that favored Netflix, labeling it "compromised" in legal correspondence.
Representatives for all companies involved have declined to provide a statement on the ongoing negotiations.
